These Terms of Service constitute a legally binding agreement between you and Su WeiT, operating as Qingdao Suweitong Network Technology Co., Ltd. — a computer systems design and integrated technology services company based in Qingdao, China. By accessing our website at suwei.mom or engaging our services, you agree to be bound by these terms. Please read them carefully before proceeding.

1. Definitions

Throughout these Terms, the following definitions apply:

  • "Su WeiT," "we," "us," or "our" — refers to Qingdao Suweitong Network Technology Co., Ltd., the legal entity providing the services and operating this website
  • "Client," "you," or "your" — refers to the individual or entity accessing our website or engaging our services
  • "Services" — refers to computer systems design, computer integrated systems design, technology consulting, and any related professional services provided by Su WeiT

If you are using our website or services on behalf of an organization, you represent that you have the authority to bind that organization to these terms. 3. Services Description

Su WeiT provides professional computer systems design and computer integrated systems design services. Our services encompass — but are not limited to — systems architecture, network infrastructure design, software systems integration, technology consulting, and related technical advisory and implementation services. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate written agreement, statement of work, or engagement letter executed by both parties.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, provided that such changes do not materially affect ongoing engagements governed by a separate written agreement.

4. Intellectual Property

4.1 Our Intellectual Property

All content on the Su WeiT website — including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software code, and the overall design and layout — is the exclusive property of Su WeiT or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws. The Su WeiT name, logo, and all related marks are trademarks of Qingdao Suweitong Network Technology Co., Ltd.

4.2 Project Deliverables

For paid service engagements, intellectual property rights in deliverables created specifically for the client will be addressed in the governing service agreement. Unless otherwise specified in writing, Su WeiT retains ownership of all pre-existing materials, tools, methodologies, and know-how used in the delivery of services, and grants the client a non-exclusive, perpetual license to use the deliverables for their intended business purpose.

4.3 License to Use the Website

Subject to your compliance with these Terms, Su WeiT grants you a limited, non-exclusive, non-transferable, revocable license to access and view the content on our website for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our website without our prior written consent.

5. Client Obligations

When engaging Su WeiT's services, you agree to:

  • Provide accurate, complete, and timely information necessary for us to perform the services
  • Grant reasonable access to your systems, facilities, and personnel as needed for service delivery
  • Review and respond to deliverables, inquiries, and requests for feedback within agreed timelines
  • Pay all fees and expenses in accordance with the payment terms specified in the applicable service agreement
  • Maintain your own backups of data and systems before and during any service engagement
  • Comply with all applicable laws and regulations in connection with your use of our services

6. Fees and Payment

Fees for Su WeiT's services are established in the applicable service agreement, statement of work, or engagement letter. Unless otherwise agreed in writing:

  • All fees are quoted and payable in the currency specified in the service agreement
  • Invoices are payable within the timeframe stated on the invoice, typically 30 days from the invoice date
  • Late payments may accrue interest at the rate specified in the service agreement or, if not specified, at the lesser of 1.5% per month or the maximum rate permitted by applicable law
  • You are responsible for all applicable taxes, duties, and governmental assessments related to the services, except for taxes based on Su WeiT's net income
  • We reserve the right to suspend or terminate services if payment is not received within the agreed timeframe

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or confidential information disclosed during the course of a service engagement. "Confidential Information" includes all non-public information — whether technical, business, financial, or otherwise — that is designated as confidential or that reasonably should be understood to be confidential given the circumstances of disclosure.

Each party agrees to use Confidential Information solely for the purpose of the engagement and to protect it using at least the same degree of care used to protect its own confidential information. Confidential Information does not include information that is publicly known through no breach of this agreement, independently developed without reference to the disclosed information, or rightfully received from a third party without restriction.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Su WeiT's total aggregate liability for any claims arising out of or related to these Terms or the services — whether in contract, tort (including negligence), strict liability, or otherwise — shall not exceed the total fees paid by you to Su WeiT during the twelve (12) months immediately preceding the event giving rise to the claim
  • In no event shall Su WeiT be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of profits, loss of data, loss of business, business interruption, or cost of procurement of substitute services — regardless of the theory of liability and even if advised of the possibility of such damages
  • Su WeiT provides its website on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Su WeiT's liability is limited to the maximum extent permitted by law.

9. Disclaimer of Warranties

While Su WeiT strives to provide accurate and reliable information on our website, we make no representations or warranties regarding the accuracy, completeness, or timeliness of any content. The information on our website is provided for general informational purposes only and should not be relied upon as professional advice. Any reliance you place on such information is strictly at your own risk.

For service engagements, the specific warranties applicable to our work will be set forth in the governing service agreement. Unless expressly stated in writing, all services and deliverables are provided "as is" without warranty of any kind.

10. Indemnification

You agree to indemnify, defend, and hold harmless Su WeiT, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our website or services
  • Your violation of these Terms of Service
  • Your violation of any applicable law, regulation, or third-party right
  • Any content or materials you provide to us in connection with a service engagement

11. Term and Termination

These Terms of Service remain in effect for as long as you use our website or services. For ongoing service engagements, the term and termination provisions will be specified in the governing service agreement. Su WeiT reserves the right to terminate or suspend your access to our website or services at any time, with or without cause, and with or without notice.

Upon termination of a service engagement for any reason, you shall pay Su WeiT for all services rendered and expenses incurred through the effective date of termination. Provisions that by their nature should survive termination — including those relating to intellectual property, confidentiality, limitation of liability, indemnification, and payment obligations — shall survive.

12. Governing Law and Dispute Resolution

These Terms of Service and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms — including their existence, validity, interpretation, performance, breach, or termination — shall first be attempted to be resolved through good-faith negotiation between the parties.

If the parties are unable to resolve the dispute through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in Qingdao, China, in accordance with the then-current commercial arbitration rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration proceedings shall be conducted in English. The arbitral award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

13. Website Usage Rules

When using our website, you agree not to:

  • Use the website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the website, its servers, or associated systems

Su WeiT shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control — including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics, labor disputes, utility failures, internet disruptions, or failure of third-party suppliers.

16. Modifications to Terms

Su WeiT reserves the right to modify these Terms of Service at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice — such as a notice on our website or via email to existing clients. Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the modified terms. We encourage you to review these Terms periodically.

17. General Provisions

17.1 Entire Agreement

These Terms of Service, together with any applicable service agreement or statement of work, constitute the entire agreement between you and Su WeiT regarding the subject matter and supersede all prior agreements, understandings, and representations, whether written or oral.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to achieve as nearly as possible the same economic effect as the original provision, and the remaining provisions shall remain in full force and effect.

17.3 No Waiver

The failure of Su WeiT to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Su WeiT.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Su WeiT's prior written consent. Su WeiT may assign or transfer its rights and obligations under these Terms without restriction.

17.5 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Su WeiT. Su WeiT provides services as an independent contractor.
